What this is

SmartSpaces is a suite of applications provided by Carla Berkers Consulting Limited:

Using any of them means you accept these terms. If you do not, do not use them. "We", "us" and "the author" mean Carla Berkers Consulting Limited.

Who can use the web suite

The web suite is provided to members of the organisations it is set up for. You sign in with a Google account from one of those organisations; your access ends when that account or the organisation's arrangement ends. You are responsible for what is done with your account, and for keeping it secure.

Your content

What you create or upload (boards, decks, documents, sheets, comments, files) remains yours, or your organisation's. You give us permission to store, copy, convert and display it only as needed to run the suite for you and the people you share it with.

You must have the right to everything you put in, and must not use the suite to store or share anything unlawful, infringing, or harmful, to attack or overload it, or to get at other people's content without permission.

Anything you share, or put in an organisation-wide board or space, can be seen, changed or deleted by the people it is shared with.

Data loss, backups, and no warranty

Please read this section carefully.

The suite, Meeting Manager and the Meet Helper are provided "as is" and "as available", without warranty of any kind, express or implied, including any warranty of fitness for a particular purpose, accuracy, availability, or that they will be free of defects.

We do not guarantee that your content will be kept safe, and we do not keep backups for you. In particular:

You are responsible for keeping your own copies of anything that matters to you. Every app can export your work; do so regularly.

To the extent permitted by law, we are not liable for any loss of or damage to data or content, for loss of profit, revenue, business, goodwill or opportunity, for any indirect or consequential loss, or for any loss arising from the suite being unavailable, from a third-party service, or from relying on what the suite or its AI features produce.

Where we are liable despite the above, our total liability to you for all claims is limited to the amount you paid us in the 12 months before the claim arose (for the free web suite, that is nothing; for Meeting Manager, your subscription payments in that period).

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot lawfully be limited, and nothing affects your statutory rights as a consumer.

AI features can be wrong

Meeting summaries, action items and decisions (Meeting Manager and Meet), and anything the SmartSpaces assistant writes or does, are produced by a large language model. They can be incomplete, misattributed, or simply incorrect, and the assistant acts on your documents with your permissions: check what it changes. Treat AI output as a convenience, not a record, and check anything that matters against the original.

You are responsible for complying with each provider's terms, and for any charges they bill you directly. In particular, Anthropic API usage under your own key is billed to you by Anthropic and is separate from any subscription.

You are also responsible for having the right to record and process the meetings you use these tools with, including any consent your jurisdiction or organisation requires from other participants.

Prices are in pounds sterling; outside the UK, checkout shows the equivalent in your currency, including any tax due in your country.

The subscription renews automatically, monthly or yearly, until you cancel. You can cancel at any time, including during the free month, from the start screen of the application; your subscription then runs to the end of the period you have paid for and is not renewed. Any payment can be refunded in full if you ask within 14 days — see the refund policy.

Payments are processed by Paddle, the merchant of record: Paddle is the seller, issues your receipt, and handles sales tax or VAT. Card details are entered on Paddle's checkout and never reach us.

If Meeting Manager is withdrawn altogether, active subscriptions will be cancelled and any period already paid for but not delivered will be refunded.

There is no guaranteed support and no service level. We will make reasonable efforts to keep things working, but may change, suspend or withdraw any part of SmartSpaces, and do not commit to fixing any particular defect or to keeping up with changes to the Google, Zoom or Anthropic services.

We may suspend or end your access if you break these terms or put the service or other people at risk.

Not affiliated

SmartSpaces and Meeting Manager are independent products of Carla Berkers Consulting Limited, not affiliated with, endorsed by, or sponsored by Zoom Communications, Google, Anthropic, Microsoft, or Paddle. Those names are used only to identify the services and file formats the suite works with.

Your data

What is collected, where it is kept and who it is shared with is set out in the privacy policy.

Changes, and the law that applies

These terms may change. The date at the top shows when they were last updated, and the current version is always the one published here. If a change materially affects what you pay or receive, you will be told before it takes effect and may cancel rather than accept it.

These terms are governed by the law of England and Wales, and its courts have jurisdiction; if you are a consumer living elsewhere, you keep any protection the law of your own country gives you.
